Terms of Service
Effective: January 15, 2024
1. Service Description
RendrSink provides media transcoding, thumbnail generation, asset normalization, and edge delivery services via API.
2. Account & Access
Accounts provisioned through partnership onboarding. API keys confidential and non-transferable.
Customer responsible for securing API keys. Unauthorized use may result in immediate suspension.
3. Acceptable Use
Service for lawful content only. Prohibited: CSAM, malware, DRM circumvention, content violating applicable law.
RendrSink reserves right to remove content and suspend accounts violating this policy.
4. Service Level Agreement
Uptime targets:
- Growth: 99.9%
- Scale: 99.95%
- Enterprise: per agreement
Credits: 10% of monthly fee for each 0.1% below SLA, capped at 30% monthly fee. Credits must be requested within 30 days.
5. Pricing & Billing
Per-asset pricing as agreed during onboarding. Volume commitments billed monthly in advance.
Overages billed at 1.5x committed rate. Net-30 payment terms.
6. Intellectual Property
Customer retains all rights to uploaded and processed media.
RendrSink retains all rights to platform, APIs, processing technology, and documentation.
7. Limitation of Liability
Aggregate liability capped at 12 months of fees paid.
Neither party liable for indirect, consequential, or punitive damages. Force majeure clause applies.
8. Termination
Either party may terminate with 30 days written notice.
Upon termination:
- API access revoked immediately
- Derivatives purged from edge within 72 hours
- Final invoice issued within 15 days
9. Governing Law
Republic of Argentina. Disputes resolved by binding arbitration in Buenos Aires.
